1. PRÉAMBULE ET INFORMATIONS LÉGALES
1.1. La SA BIONAT (ci-après, « BIONAT ») est une entreprise de droit belge active dans le domaine de la fabrication, l’achat et la vente de produits alimentaires, spécialement dans le secteur de la moutarde, des sauces et condiments (les « Produits ») et dont les coordonnées d’identification sont détaillées ci-après :

1.2. Les présentes conditions générales (les CGV) régissent les ventes de Produits aux clients qui agissent à des fins professionnelles (grossistes, industriels, revendeurs, etc… - le « Client ») à l’exclusion des clients consommateurs. En cas de contradiction, les CGV prévalent sur tout autre document du Client et, notamment, sur ses conditions générales d’achat, sauf dérogation expresse écrite dans l’offre émise par BIONAT au Client (l’« Offre »). Il ne sera admis aucune dérogation aux présentes conditions générales, sauf accord écrit de BIONAT. L’absence de mise en oeuvre d’une clause établie dans les présentes conditions générales ne peut être interprétée comme une renonciation de BIONAT à s’en prévaloir.
1.3. BIONAT se réserve le droit de modifier ses conditions générales à tout moment. Ces modifications ne seront applicables qu’aux commandes de Produits passées postérieurement à la modification.
2. PRIX ET COMMANDES
2.1. Les prix des Produits sont fixés dans la grille tarifaire communiquée au Client. Lorsque BIONAT adapte ses prix et communique au Client une nouvelle grille tarifaire, elle indique la date de livraison à partir de laquelle les nouveaux tarifs entrent en vigueur. Les nouveaux tarifs seront donc applicables à toutes les commandes passées après communication de la nouvelle grille tarifaire pour lesquelles la livraison ou la réception intervient à partir de la date d’entrée en vigueur du changement de tarif de BIONAT. Le Client reconnait donc expressément que la commande de Produits implique une obligation irrévocable de payer le prix des Produits tel qu’applicable au jour de la livraison selon la grille tarifaire.
2.2 BIONAT accuse réception de la commande et confirme par écrit son acceptation ou non au plus tard le 3ème jour ouvrable suivant la commande. Si les stocks disponibles ne permettent pas à BIONAT de confirmer la commande (par exemple en raison de l’intérêt de BIONAT d’assurer la continuité des livraisons à ses différents Clients dans un contexte de pénurie des matières premières), elle en informe le client par e-mail, ou à défaut d’adresse e-mail, par téléphone. La commande sera alors automatiquement annulée.
3. PAIEMENTS
3.1. Sauf convention contraire, le Client s’engage à payer chaque commande en créditant le compte de BIONAT dans les 30 jours calendrier au plus tard qui suivent l’émission de la facture de BIONAT.
3.2. En cas de retard(s) de paiement, le Client est automatiquement et de plein droit redevable à BIONAT d’intérêts moratoires au taux prévu par la loi du 2 août 2002 concernant la lutte contre le retard de paiement dans les transactions commerciales et d’une indemnité forfaitaire de 10 % du montant impayé, sans préjudice de ce qui est prévu à l’Article 3.3.
3.3. Le Client reconnaît à BIONAT le droit de suspendre avec effet immédiat et sans mise en demeure préalable la livraison de toute commande en cours au Client à partir du moment où :
3.3.1. Soit l’encours du Client (à savoir l’ensemble des factures émises par BIONAT mais qui sont impayées, en ce compris les factures qui ne sont pas encore arrivées à échéance) excède 25.000 EUR HTVA ;
3.3.2. Soit le Client accuse un retard de paiement par rapport au délai de paiement prévu à l’Article 3.1.
3.4. BIONAT se réserve la propriété de l’intégralité des Produits d’une commande aussi longtemps que le prix de vente de la commande de Produits n’a pas été payée dans son intégralité.
4. MODALITÉS DE LIVRAISON ET RÉCEPTION
4.1. Sauf précision contraire expresse, les délais de livraison ne sont donnés qu'à titre indicatif. BIONAT s’engage à effectuer ses meilleurs efforts pour que chaque livraison intervienne dans les quinze jours
ouvrables (à savoir les jours où les banques sont ouvertes en Belgique, samedis exceptés) qui suivent la confirmation de commande par BIONAT.
BIONAT précise que :
4.1.1. Ce délai de quinze jours ouvrables s’entend hors transport, dès lors que le transport est pris en charge par le Client ou par un (ou des) prestataire(s) externe(s) à BIONAT ;
4.1.2. Les périodes annuelles de fermeture des usines de BIONAT (5 jours ouvrables entre Noel et le Nouvel-an et 10 jours ouvrable durant la période juillet / août) sont susceptibles d’allonger ce délai à due concurrence ;
4.2. Deux modes de livraison des Produits sont proposés au Client :
4.2.1. Soit BIONAT assume la livraison. Les Produits sont livrés à l’adresse indiquée dans l’Offre et le transfert des risques s’opère alors au moment de la réception ;
4.2.2. Soit le Client choisit d’assumer le transport en chargeant lui-même un transporteur de l’acheminement des Produits. En pareil cas, la remise des Produits au transporteur au siège d’exploitation (sauf précision d’une adresse différente dans l’Offre) vaut réception et transfert des risques au Client.
4.3. Lorsque les Produits sont prêts à être expédiés ou réceptionnés par le Client, BIONAT informera le client par e-mail de la date de livraison ou de réception exacte.
4.4. BIONAT décline toute responsabilité du chef de retard de livraison ou de défaut de livraison en cas de force majeure ou d’événement échappant à son contrôle, qui rendrait l’exécution de la convention impossible ou plus onéreuse en tout ou en partie, ou en cas du fait des tiers, telle que les fournisseurs des parties aux présentes, les sous-traitants, les agents et représentants, ou encore à défaut pour le client de respecter ses engagements. Sont notamment considérés comme cas de force majeure déchargeant BIONAT de son obligation de livrer, la guerre, l’émeute, l’incendie, les grèves, les accidents et l’impossibilité d’être approvisionné. BIONAT tiendra le Client au courant en temps opportun des cas ou des événements ci-dessus énumérés.
5. RÉCLAMATIONS ET RETOURS
5.1. Le retour des Produits n’est accepté que pour des raisons de qualité. La demande de retour et/ou toute réclamation quant à un défaut de conformité des Produits n’est recevable que si elle est envoyée dans les 3 jours ouvrables suivant la réception de la commande.
5.2. Les Produits vendus sont livrés conformément à la description qui en est faite dans l’Offre.
5.3. Le Client s’engage à respecter toutes les exigences de conservation des Produits essentielles au maintien de la qualité des Produits conformément aux règles de l’art. En conséquence, s’il est avéré qu’un défaut des Produits trouve sa cause, même partiellement, dans un défaut de conservation, aucune garantie ne sera offerte par BIONAT au Client.
5.4. Dans la limite admise légalement, la responsabilité de BIONAT se limite au remplacement ou au remboursement des Produits affectés d’un défaut de conformité. Sauf en cas de dol ou de faute lourde, la responsabilité de BIONAT ne pourra pas être poursuivie pour indemniser tout autre dommage. Sont en toutes hypothèses exclus de la garantie de BIONAT, les dommages suivants : manque à gagner (lucrum cessans), la perte de profits, la perte de revenus, la perte d’opportunités d’affaires ou tout autre dommage indirect.
6. LOI APPLICABLE ET TRIBUNAUX COMPÉTENTS
6.1. Les conventions auxquelles s'appliquent les présentes conditions générales sont exclusivement régies par le droit belge à l’exclusion de la Convention des Nations Unies sur les contrats de vente internationale de marchandises.
6.2. Seuls les tribunaux de l’arrondissement du Brabant wallon (Belgique) sont compétents en cas de litige portant sur leur interprétation ou leur exécution, sauf le droit de BIONAT de porter en qualité de demandeur l'action devant tout autre tribunal compétent en raison du siège social du Client.

NEDERLANDS

1. PREAMBULE EN WETTELIJKE INFORMATIE
1.1. De NV BIONAT (hierna « BIONAT ») is een onderneming naar Belgisch recht, actief in het domein van de fabricatie, de aan- en verkoop van voedingsproducten, in het bijzonder in de sector van mosterd, sauzen en specerijen (de « Producten ») en waarvan de identificatiegegevens hieronder gedetailleerd worden:

1.2. Huidige algemene verkoopsvoorwaarden (de AVV) regelen de verkoop van Producten aan klanten die handelen met professionele doeleinden (groothandels, industriëlen, doorverkopers, enz. - de « Klant ») met uitsluiting van klanten die consumenten zijn. In geval van tegenstrijdigheid hebben de AVV voorrang op elk ander document van de Klant en, met name, op diens algemene aankoopvoorwaarden, behoudens uitdrukkelijke schriftelijke afwijking in de offerte die uitgegeven wordt door BIONAT aan de Klant (de « Offerte »). Er zal geen enkele afwijking op huidige algemene voorwaarden toegestaan worden, behoudens schriftelijk akkoord van BIONAT. Indien een beding dat deel uitmaakt van huidige algemene voorwaarden niet in werking gesteld wordt, kan dat niet geïnterpreteerd worden als een afstand van BIONAT om er zich op te beroepen.
1.3. BIONAT behoudt zich het recht voor haar algemene voorwaarden op elk moment te wijzigen. Deze wijzigingen zullen slechts toepasselijk zijn op bestellingen van producten die gedaan worden na de wijziging.
2. PRIJZEN EN BESTELLINGEN
2.1. De prijzen van de Producten worden vastgesteld in het tarievenrooster dat meegedeeld wordt aan de Klant. Wanneer BIONAT zijn prijzen aanpast en een nieuw tariefrooster meedeelt aan de Klant, deelt ze de leveringsdatum vanaf dewelke de nieuwe tarieven van kracht worden mee. De nieuwe tarieven zullen dus toepasselijk zijn op alle bestellingen die gedaan worden na mededeling van het nieuwe tarievenrooster waarvoor de levering of de ontvangst tussenkomt vanaf de datum van in werking treden van de tariefwijziging van BIONAT. De Klant erkent dus uitdrukkelijk dat de bestelling van Producten een onherroepelijke verbintenis met zich meebrengt om de prijs van de Producten te bepalen zoals hij van toepassing is op de dag van de levering volgens het tarievenrooster.
2.2. BIONAT bevestigt ontvangst van de bestelling en bevestigt schriftelijk haar aanvaarding of niet-aanvaarding uiterlijk de derde werkdag volgend op de bestelling. Indien de beschikbare stocks BIONAT niet toelaten de bestelling te bevestigen (bijvoorbeeld omwille van het belang van BIONAT om de continuïteit van de leveringen aan haar verschillende Klanten te verzekeren in een context van een tekort aan grondstoffen), brengt deze er de Klant van op de hoogte per e-mail of, bij gebrek aan e-mailadres, per telefoon. De bestelling zal dan automatisch geannuleerd worden.
3. BETALINGEN
3.1. Behoudens tegenstrijdige overeenkomst verbindt de Klant zich ertoe elke bestelling te betalen door de rekening van BIONAT te crediteren ten laatste binnen de 30 kalenderdagen die volgen op de uitgifte van de factuur van BIONAT.
3.2. In geval van betalingsachterstand(en) is de Klant automatisch en rechtswege moratoire interesten verschuldigd aan BIONAT aan de rentevoet voorzien door de wet van 2 augustus 2002 betreffende de bestrijding van de betalingsachterstand bij handelstransacties en een forfaitaire schadevergoeding van 10 % van het niet-betaalde bedrag, onverminderd wat voorzien wordt in Artikel 3.3.
3.3. De Klant erkent dat BIONAT het recht heeft met onmiddellijke ingang en zonder voorafgaandelijke ingebrekestelling de levering van elke lopende bestelling aan de Klant op te schorten vanaf het ogenblik waarop: 3.3.1. Hetzij het openstaande bedrag van de Klant (te weten alle door BIONAT uitgegeven facturen, die onbetaald blijven, hier inbegrepen de facturen die nog niet aan hun vervaldag zijn) een bedrag van 25.000 EUR BTW inbegrepen, overschrijdt;
3.3.2. Hetzij de Klant een betalingsachterstand heeft ten opzichte van de betalingstermijn voorzien in Artikel 3.1.
3.4. BIONAT behoudt zich de eigendom van de integraliteit van de Producten van een bestelling voor, zo lang de verkoopprijs van de bestelling van de Producten niet integraal betaald is.
4. LEVERINGS_ EN ONTVANGSTMODALITEITEN
4.1. Behoudens uitdrukkelijk tegenstrijdige verduidelijking, worden de leveringstermijnen slechts ten indicatieve titel gegeven. BIONAT verbindt zich ertoe, zich naar best vermogen in te spannen opdat elke levering binnen de vijftien werkdagen (te weten de dagen waarop de banken geopend zijn in België, zaterdagen uitgezonderd) die volgen op de bevestiging van de bestelling door BIONAT, tussenkomt. BIONAT verduidelijkt dat :
4.1.1. Deze termijn van vijftien werkdagen wordt verstaan buiten het vervoer, vermits het vervoer ten laste wordt genomen door de Klant of één (of meerdere) externe dienstverlener(s) ten opzichte van BIONAT; 4.1.2. De jaarlijkse sluitingsperiodes van de fabrieken van BIONAT (5 werkdagen tussen Kerstmis en Nieuwjaar en 10 werkdagen tijdens de periode juli/augustus) kunnen deze termijn in evenredige mate verlengen ;
4.2. Er worden twee manieren van de levering van Producten voorgesteld aan de Klant:
4.2.1. Ofwel zorgt BIONAT voor de levering. De Producten worden geleverd op het adres dat opgenomen wordt in de Offerte en de overdracht van de risico’s komt dan tussen op het ogenblik van de ontvangst; 4.2.2. Ofwel kiest de Klant ervoor om zelf het transport op zich te nemen door zelf een vervoerder te gelasten met het vervoer van de Producten. In dat geval geldt de overdracht van de Producten aan de vervoerder op de uitbatingszetel (behoudens verduidelijking van een verschillend adres in de Offerte) als ontvangst en overdracht van de risico’s aan de Klant.
4.3. Wanneer de Producten klaar zijn om verzonden te worden, of ontvangen door de Klant, zal BIONAT de Klant per e-mail op de hoogte brengen van de exacte leverings- of ontvangstdatum.
4.4. BIONAT wijst alle aansprakelijkheid af uit hoofde van een vertraging in de levering, of een gebrek in de levering in geval van overmacht of van gebeurtenis die aan haar controle ontsnapt, die de uitvoering van de overeenkomst onmogelijk of duurder zou maken, geheel of gedeeltelijk, of in geval van het optreden van derden, zoals de leveranciers van de partijen van huidige overeenkomst, de onderaannemers, de agenten en vertegenwoordigers, of nog indien de Klant zijn verbintenissen niet nakomt. Worden met name beschouwd als gevallen van overmacht die BIONAT vrijstellen van haar leveringsplicht oorlog, oproer, brand, stakingen, ongevallen en de onmogelijkheid om bevoorraad te worden. BIONAT zal de Klant ten gepasten tijde op de hoogte brengen van de hierboven opgesomde gevallen of gebeurtenissen.
5. KLACHTEN EN TERUGZENDINGEN
5.1. De terugzending van de Producten wordt slechts aanvaard omwille van kwaliteitsredenen. De aanvraag tot terugzending en/of elke klacht omtrent een conformiteitsgebrek van de Producten is slechts ontvankelijk indien ze binnen de drie werkdagen na ontvangst van de bestelling wordt verzonden.
5.2. De verkochte Producten worden geleverd overeenkomstig de omschrijving die ervan wordt gemaakt in de Offerte.
5.3. De Klant verbindt zich ertoe om alle vereisten van bewaring van de Producten die essentieel zijn voor het behoud van de kwaliteit van de Producten te eerbiedigen overeenkomstig de regels van de kunst. Dienvolgens zal geen enkele garantie geboden worden door BIONAT aan de Klant indien blijkt dat een gebrek van de Producten zijn oorzaak vindt, zelfs gedeeltelijk, in een gebrek in de bewaring.
5.4. Binnen de wettelijk toegestane limiet is de aansprakelijkheid van BIONAT beperkt tot de vervanging of de terugbetaling van de Producten die aangetast zijn door een conformiteitsgebrek. Behoudens in geval van bedrog of zware fout zal de aansprakelijkheid van BIONAT niet kunnen worden aangesproken om enige andere schade te vergoeden. Worden in elk geval uitgesloten van de garantie door BIONAT, de volgende schadegevallen: de winstderving (lucrum cessans), het verlies van winst, het verlies van inkomsten, het verlies van zakelijke opportuniteiten of elke andere onrechtstreekse schade.
6. TOEPASSELIJKE WET EN BEVOEGDE RECHTBANKEN
6.1. De overeenkomsten waarop huidige algemene voorwaarden toepasselijk zijn worden uitsluitend beheerst door het Belgisch recht met uitsluiting van het Verdrag van de Verenigde Naties inzake internationale koopovereenkomsten betreffende roerende zaken.
6.2. Enkel de rechtbanken van het arrondissement Waals-Brabant (België) zijn bevoegd in geval van geschil over hun interpretatie of uitvoering, behoudens het recht van BIONAT om de vordering in hoedanigheid van eiser te brengen voor elke andere bevoegde rechtbank omwille van de maatschappelijke zetel van de Klant.

1. PREAMBLE AND LEGAL INFORMATION
1.1. The limited liability company SA BIONAT (« BIONAT ») is a company under Belgian law active in the field of manufacture, purchase, and sale of food products, especially in the sector of mustard, sauces and condiments (the “Products”) whose identification details are set out below:

1.2. The present general conditions govern (the “GCS”) govern the sales of Products to customer acting for professionals’ purposes (wholesalers, industrialists, resellers, etc… - (the “Customer”), to the exclusion of consumer customers. In case of contradiction the GCS shall prevail over any other document of the Customer and, in particular, over its general conditions of purchase, unless expressively waived in written in the offer issued by BIONAT to the Customer (the “Offer”).
No derogation from the present general conditions shall be permitted except agreed in written by BIONAT. The absence of implementation of a clause set out in the present general conditions may not be interpreted as a waiver by BIONAT of its rights to take advantage of such clause.
1.3. BIONAT reserves the right to modify its general conditions at any time. These modifications shall only be applicable to orders of Products placed after the modification.
2. PRICES AND ORDERS
2.1. The prices of the Products are set in the price list communicated to the Customer. When BIONAT adapts its prices and communicates a new price list to the Customer, it will indicate the delivery date from which the new prices come into effect. The new prices will therefore be applicable to all orders placed after the communication of the new price list for which the delivery or receipt occurs from the date of entry into force of BIONAT's price change. The Customer therefore expressly acknowledges that the order of Products implies an irrevocable obligation to pay the price of the Products as applicable on the day of delivery according to the price list.
2.2. BIONAT acknowledges receipt of the order and confirms in writing its acceptance or not at the latest on the 3rd business day following the order. If the available stocks do not allow BIONAT to confirm the order (for example due to the interest of BIONAT to ensure the continuity of the deliveries to its different Customers in a context of shortage of raw materials), it will inform the Customer by e-mail, or in the absence of an e-mail address, by phone. The order will then be automatically cancelled.
3. PAYMENTS
3.1. Unless otherwise agreed, the Customer shall pay for each order by crediting BIONAT's account within 30 calendar days at the latest after BIONAT's invoice has been issued.
3.2. In the event of late payment(s), the Customer is automatically and by operation of law owe BIONAT default interests at the rate provided by the law of 2 August 2002 concerning the delayed payment in commercial transactions and a fixed compensation equal to 10% of the unpaid amount, without prejudice to what is provided in Article 3.3.
3.3. The Customer acknowledges that BIONAT has the right to suspend with immediate effect and without prior notice the delivery of any outstanding order to the Customer from the moment when:
3.3.1. Either the Customer's outstanding amount (i.e. all invoices issued by BIONAT but which are unpaid, including invoices which have not yet become due) exceeds EUR 25,000 exclusive of VAT;
3.3.2. Soit le Client accuse un retard de paiement par rapport au délai de paiement prévu à l’Article 3.1.
3.4. BIONAT shall retain ownership of all the Products in an order as long as the sale price of the Products order has not been paid in full.
4. TERMS OF DELIVERY AND RECEIPT
4.1. Unless otherwise expressly stated, delivery times are given as indication only. BIONAT undertakes to make its best efforts to ensure that each delivery takes place within fifteen business days (i.e. the days on which banks are open in Belgium, Saturdays excepted) following the order confirmation by BIONAT. BIONAT specifies that:
4.1.1. This fifteen business days period does not include the transport as the transport is supported by the Customer or by one (or more) external provider(s) to BIONAT.
4.1.2. The annual closure periods of BIONAT's factories (5 business days between Christmas and New Year and 10 business days during the July/August period) are likely to extend this period accordingly;
4.2. Two delivery ways of the Products are offered to the Customer:
4.2.1. Either BIONAT assumes the delivery. The Products are delivered to the address indicated in the Offer and the transfer of risks takes place at the receipt; 4.2.2. Or the Customer chooses to assume the transport by appointing a carrier to deliver the Products. In this case, the delivery of the Products to the carrier at the place of business (unless a different address is specified in the Offer) shall be deemed to constitute receipt and transfer of risks to the Customer.
4.3. In case the Products are ready to be sent or received by the Customer BIONAT will inform the Customer by e-mail of the delivery date or the exact receipt.
4.4. BIONAT declines all liability for late delivery or failure to deliver in case of force majeure or an event beyond its control, which would make the execution of the agreement impossible or more costly in whole or in part, or in the event of the actions of third parties, such as supplier of the parties, subcontractors, agents and representatives, or in the event of the Customer’s failure to comply with its obligations. War, riot, fire, strikes, accidents and the impossibility of being supplied are notably considered as cases of force majeure discharging BIONAT from its delivery. BIONAT shall inform the Customer in a timely manner of the cases or events listed above.
5. COMPLAINTS AND RETURNS
5.1. Products return is only accepted for quality reasons. Request for return and/or complaint on a lack of conformity of the Products shall be admissible only if sent within 3 business days following the receipt of the order.
5.2. Sold Products are delivered in accordance with its description in the Offer.
5.3. The Customer undertakes to comply with all the storage requirements of the Products essential to the maintenance of the quality of the Products in accordance with the professional standards. Consequently, if it is proven that a defect in the Products is caused, even partially, by a lack of conservation, no guarantee will be offered by BIONAT to the Customer.
5.4. To the extent legally permitted, BIONAT's liability is limited to the replacement or refund of Products affected by a lack of conformity. Except in case of fraud or gross negligence, BIONAT's liability may not be pursued to compensate for any other damage. In any cases, the following damages are excluded from BIONAT's guarantee : loss of profit (lucrum cessans), loss of profits, loss of income, loss of business opportunities or any other indirect damage.
6. APPLICABLE LAW AND COMPETENT COURTS
6.1. The agreements to which these general terms and conditions apply are governed exclusively by Belgian law to the exclusion of the United Nations Convention on Contracts for the International Sales of Goods.
6.2. The courts of the Brabant-Wallon district (Belgium) shall have the exclusive jurisdiction in the event of a dispute relating to their interpretation or execution, except the right of BIONAT to bring the action as plaintiff before any other court with jurisdiction due to the Customer residence.
